Running Your Board

Seven short walkthroughs that follow a corporate secretary through one complete board cycle. Start here if you are new.

  1. Set Up Your Board
Create your organization, add the board and committees, invite your directors, and choose the settings that shape every meeting after this one.
  2. Plan a Meeting
Schedule the meeting, add attendees, build the agenda, attach the materials, and send the date hold so directors can block the time.
  3. Publish the Materials
Release the agenda and documents to attendees, send the materials notice, and follow up on RSVPs and reading before the meeting.
  4. Run the Meeting
Prepare the minutes outline beforehand, then take attendance, move through the agenda, and record motions, decisions and action items as they happen.
  5. Close It Out
Turn the meeting record into minutes, circulate them, follow up on action items, and file the approved minutes where the board can find them.
  6. Between Meetings
Pass a resolution by written consent, collect conflict-of-interest and other declarations, and run a board survey, all without calling a meeting.
  7. What Your Directors See
The whole cycle from a board member's side, so you know what they receive at each step and can answer their questions before they ask.
